General Summary

We have a great opportunity for a Paralegal (Contracts). This position will be based at our headquarters in Blue Ash, Ohio with the opportunity to work partially remotely. You will report to Michelman’s Corporate Counsel and will be responsible for a wide range of paralegal and administrative tasks related to company contracts and their management. The ideal fit for this position is a motivated individual who has corporate, and contractual management experiences.
You will also support Michelman’s corporate counsel with organizational efforts to increase awareness of related matters, and assist and/or facilitate training sessions related to contract risk management.

Primary Responsibilities

  • The successful candidate shall have prior experiences in the followings:
  • Provide critical support to the organization in preparing draft and review of routine NDAs/Agreements ensuring compliance with Michelman’s processes, policies and templates.
  • Utilize various tools that support the receiving, processing, and execution of NDAs/Agreements requests adequately prepared.
  • Utilize workflow tools to obtain appropriate corporate approvals and ensure intended signer is authorized to facilitate signature of documents from designated legal representatives.
  • Ensure the efficiency of the contract management system (i) by tracking reviewed NDAs/Agreements, (ii) by recording final executed NDAs/Agreements and associated documents to ensure a proper and accurate storage, (iii) by handling and managing renewal, extension and/or termination of NDAs/Agreements and other related legal documents in the contract management system.
  • Maintain records and dockets of work being performed.
  • Prepare and create reports, metrics as needed by stakeholders.
  • Communicate with internal and external parties as needed
  • Identify and propose process optimization to manage, track and report on NDAs/Agreements and documents;
  • Assist Michelman’s Corporate Counsel as required in the identification and implementation of optimization’s process and system as well as compliance training.
  • Perform various administrative tasks such as collecting invoices, preparing and analyzing invoices records
    Support the Corporate Counsel with any other inquiries in other practices areas

Critical Competencies, Knowledge, Skills, and Abilities

  • Strong written and verbal communication skill.
  • Fast learner.
  • Ability to work independently maintaining high level of confidentiality and exercise sound judgment.
  • Excellent organizational skills.
  • Ability to prioritize and balance long-range projects with shorter fuse activities.
  • Strong project management skills.
  • Proficiency with Microsoft Office suite, including Outlook, Microsoft Word, Excel, Power Point, etc.
  • Experience working with contract management software.
  • Ability to review a broad scope of agreements within predetermined parameters.

Education and Experience

  • Minimum 3 years of experience as a Paralegal.
  • Bachelor's degree, Paralegal Certification from a school approved by the ABA is preferred or similar work experience
  • Experience working with external counsel on legal matters.

Work Hour

Michelman’s standard work hours for this role are Monday – Friday from 8 am – 5 pm EST however we can be flexible with work schedule and total hours worked
